These terms govern your use of chennaicfo.com and, together with the engagement letter or proposal we sign with you, the services ChennaiCFO provides. Please read them before using the website or engaging us.
By browsing this website, submitting an enquiry, or accepting a proposal from us, you agree to these terms. If you do not agree with them, please do not use the website or our services. If you accept these terms on behalf of a company or firm, you confirm that you are authorised to bind that entity.
The pages of this website describe our services in general terms. What we actually deliver to you, the fee for it, and the timeline are set out in the engagement letter. Where anything in these terms conflicts with a signed engagement letter, the engagement letter prevails for that engagement.
Anything not expressly included in the engagement letter is outside scope. Additional work is taken up only after it has been agreed in writing, along with the fee for it.
You must be at least eighteen years old and legally capable of entering into a contract. Our services are intended for businesses and business owners, not for consumers seeking personal financial products.

We are entitled to rely on the information you provide without independently verifying it, unless verification is expressly part of the scope. We are not responsible for consequences arising from information that was incomplete, inaccurate or delayed.
A retainer engagement continues until either party ends it with thirty days' written notice. Either party may end an engagement immediately if the other commits a material breach that is not remedied within fifteen days of written notice, or becomes insolvent.
We may also decline to continue where continuing would place us in breach of law or professional obligations, or where a conflict of interest arises. On termination, fees for work done up to that date become payable, and we will hand over your records and completed deliverables once dues are settled.
Each party will keep the other's confidential information in confidence and use it only for the engagement. This does not apply to information that is public through no fault of the receiving party, was already lawfully held, or must be disclosed under law or by a regulator. Our handling of personal data is described in the Privacy Policy.
The content of this website — text, graphics, logos, layout and code — belongs to ChennaiCFO or its licensors and is protected by law. You may read, print and share pages for your own reference; you may not copy, republish, resell or use the content commercially without written permission.
Templates, models, checklists, formats and methodologies we use to produce deliverables remain ours. On payment of fees, you receive a non-exclusive right to use the deliverables prepared for you, for your own business purposes.
We act as independent professional advisers. Nothing in these terms creates a partnership, joint venture, agency or employment relationship. We do not accept authority to operate your bank accounts, sign statutory documents in your name or act as an officer of your company unless that is expressly agreed in writing.
Neither party will solicit or employ the other's personnel who were directly involved in an engagement, during the engagement and for twelve months after it ends, without the other's written consent.
Our services are advisory and supportive in nature. To the extent permitted by law, our total aggregate liability arising out of or in connection with an engagement, whether in contract, tort or otherwise, is limited to the fees actually paid to us for that engagement in the twelve months preceding the event giving rise to the claim.
We are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill, data or anticipated savings, even if the possibility was known. Nothing in these terms limits liability that cannot be limited under law, including liability for fraud or wilful misconduct.
Any claim must be brought within one year of the date on which you became aware of the circumstances giving rise to it.
You agree to indemnify us against claims, losses, penalties and reasonable costs arising from information you provided that was inaccurate, incomplete or misleading, from your breach of these terms, or from your failure to meet an obligation the law places on you.
Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including natural events, epidemics, strikes, war, government action, failure of statutory portals, and interruption of power or telecommunications. Affected obligations are suspended for the duration of the event.

These terms are governed by the laws of India. Subject to clause 17, the courts at Chennai, Tamil Nadu have exclusive jurisdiction over any dispute.
The parties will first try to resolve any dispute through discussion in good faith within thirty days. Failing that, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Chennai and the proceedings will be in English.
If any provision is held invalid, the rest continues in effect. A delay in enforcing a right is not a waiver of it. You may not assign your rights under an engagement without our written consent. These terms, with the engagement letter, form the entire agreement between us on their subject matter.
We may revise these terms from time to time. The version published on this page on the date you use the website applies to that use, and the version in force when an engagement letter is signed applies to that engagement.
